Reasons for Writing a Contract Termination Letter

The following are some reasons for which a contract is terminated, which indirectly, also become the reasons for writing a contract termination letter:

  • A contract is terminated by breach committed by either party to the contract. It means that a party to the contract has not performed his part of the contract or his obligations under the contract.
  • When the fraud or misrepresentation is detected after the parties entered into a legal contract, the contract can be terminated by the aggrieved party. 
  • Where the time is essence of the contract and the contract is not performed within the given time frame, the contract will be terminated.
  • When the performance of one party to the contract is not accepted by the other party, the contract is likely to be terminated, provided that the reasons for such non-acceptance of performance are valid.
  • In case a particular contract provides, a buyer can terminate a contract if he finds a new supplier and vice versa. In such cases, any loss or damages, as decided by a court of law, shall be payable to the other party, by the party rescinding the contract.
  • Some contracts can be terminated on basis of ‘impossibility of performance’. For example, A entered into contract with B on 10th of November, to provide him an imported car on 20th of December from China. At the time of formation of the contract, the contract was valid and legal. However, at 1st of December, the Government introduced a legislation and banned imports of vehicles from China. So, now it will be impossible for A to perform his obligation and the contract will be terminated.
  • A contract can also be terminated by mutual mistakes of the parties to the contract. It is possible that both the parties are mistaken about certain terms and conditions of the contract.
