Types of Board Resolutions

There are three main types of board resolutions which are mentioned as follows:
1. Special Resolution:
This is a type of resolution that is required to be carried out or approved by at least three fourth majority of directors attending the board meeting. As the name suggests, a special resolution is related to some special business or special matters of the company. 
2. Ordinary Resolution:
Ordinary resolution, also known as a simple resolution, is the one which is required to be approved by at least 50% majority of the directors attending the board meeting. Ordinary resolutions are mostly related to company’s routine business or operations.
3. Unanimous Resolution:
A resolution which is approved by all the directors is simply known as a unanimous resolution. It means that all of the directors present at the board meeting, have agreed on a certain matter.
